Agreement to contribute to an endowment in favor of supporting educational
projects
The First Article: Introduction
Thank you for your decision to contribute to the support of this global knowledge project
and to participate in helping millions of Muslims around the world and Muslim societies to
advance their knowledge, raise awareness in them, strengthen their adherence to their
religion and the Shareeah of its Prophet, صلى الله عليه و سلم ,and deliver moderate Islamic
knowledge with an understanding of the best of generations away from myths and lies and
away from reprehensible extremism and deviated thought .
The idea of allocating an endowment, the proceeds of which will go to this educational
project, is tantamount to securing a stable income for the project that helps it to continue to
communicate and spread its message and to increase its participants from millions of
Muslims around the world by teaching them the necessary knowledge which they must
know. Especially those who find it difficult to access pure Islamic knowledge because of
circumstances surrounding them. As well this project will be a platform on a global level to
introduce the true Islam and its message to all of humanity in various languages, and it will
be an entrance to the hearts of those who have recently embraced Islaam and are in dire
need to learn about their religion and its commands and prohibitions.
We ask Allaah the Most High to magnify your reward and to make what you offer an ongoing
charity that will be accepted on your pages until the Day of Resurrection and to reward you
for what you will provide of a better world for many Muslims around the world.
This Introduction is an integral part of this Agreement
The Second Article: the current and future condition of the project:
This knowledge-based project is, by various standards, the first project of its kind in the
world in terms of what it offers of complete and complementary subjects in a simple, easy
way with modern attractive design. With the concern to achieve the most inclusive benefit
for all and to be the first Islaamic Ummah project, this project is being produced in several
languages. Currently hundreds of thousands of Muslims around the world are participating
in this project, it has reached more than 180 countries and its lectures are broadcast via a
knowledge-based satellite channel.
The project's educational platform was built according to the latest technologies and
software tools in the field of e-learning and distance learning platforms, and the project is
technically supervised by a multinational team with the highest expertise in this field. As
well as a specialized knowledge team to develop knowledge-based content,
knowledge-based activities, interactive questions and answer the knowledge related
inquiries of the participants.
With the success of Allaah the Most High, this project has assumed a prominent position
among e-learning platforms and has become the pioneer of free Islaamic online learning in
terms of the number of beneficiaries as well as the quality and completion of the
knowledge-based components it provides.
Project development areas:
This knowledge-based project, despite its current condition, spread, distinguishments and
characteristics in terms of knowledge, content and technical terms, the areas of
development for the project are open and work is being done on them. Short and long-term
development plans are prepared in all its aspects, including adding benefits, developing new
educational levels, and opening educational fields. As well opening unconventional methods
of teaching, especially for those who have recently entered Islam, as well as those who wish
to learn the Arabic language to acquire Islamic sciences.
The Third Article: The keywords mentioned in this document, unless the context requires
otherwise
The first party (endowment administration official): The Waafr company is based in the
United Kingdom and represents the body responsible for managing the endowment and
implementing the terms of this agreement. One of its main areas of work is signing contracts
for the establishment and operation of educational programs on a global level.
The second party (The Endower): is the entity, person or group of persons wishing to
contribute to the endowment for the benefit of the educational program "endowed".
The third party (The Endowment): It is an integrated project that provides Islamic knowledge
to all Muslims around the world free of charge through its various educational platforms, as
well as platforms for Islaamic Shareeah questions, publishing and printing projects, and
attention to education, the emerging Muslim generation, and the Muslim child
Waafr Real Estate Endowment (Waqf): It is a real estate opportunity that Wafir is working to
secure and endow and allocate its proceeds to finance the third party and secure its
continuity, continuous development, spread and delivery of its services to Muslims around
the world on the widest scale.
Waqf: It is to secure the commodity with the ruling of it being owned by Allaah the Most
High as a way of perpetuity and charity. So, the of the commodity passes from being
property of the one who gave the endowment to being the property of Allaah to be used in
a way that benefits the servants, so it is neither sold, nor donated, nor bequeathed.
The Fourth Article: Terms and Conditions
These terms and conditions form the basis of the Waafr Real Estate Endowment
Management and Operation Agreement and the duties, rights and responsibilities of each
party to this endowment agreement with regard to selecting the appropriate endowment
and directing its proceeds to support the third party as well as developing and maintaining
the endowment and following up on its legal and other matters in a manner that ensures
the continuation of this endowment to secure the largest possible financial return from it .
By reviewing and agreeing to the terms of this agreement, the first party bears the
implementation of all the responsibilities, provisions and obligations stated therein, and the
second party bears its responsibilities contained in this agreement and abide by all the
provisions of this agreement, collectively or separately.
The terms and conditions mentioned in this agreement shall be effective as of the date of
publication (February 2022) and may be amended periodically by the first party as needed
and as required by the interest of the endowment.
Neither the endowment nor any of the parties to this agreement may engage in political
activities in the name of the endowment or be included in it, and it may not be a tool for any
political current.
The Fifth Article: Scope of the Agreement
● The scope of this agreement is to provide and allocate an endowment, the proceeds
of which will go to support and develop the third party, and the provision of this
endowment includes the following basic matters:
● Searching for an appropriate endowment and ensuring that it is an appropriate
investment opportunity with an appropriate monthly return, as well as increasing its
price over time, according to real estate investment specialists that the first party
contracts with for this purpose
● Purchase of the property and its official registration in the name of the company that
was established in the United Kingdom specifically for this matter WAAFR
● Through a specialized legal team, the property will be registered, and ownership
declared to the first party, and its proceeds will forever be an endowment for the
third party.
● Operating the real estate endowment and managing the material income to serve
the continuity and development of the third party
● Permanent follow-up of the property in terms of maintenance, as well as in terms of
paying taxes and financial dues
● Since the first objective of the Waqf Waafr project is to secure support for the
aforementioned global educational program with its various projects for its
continuity and further expansion, and based on this goal, the Waafr administration
has the right, and if the interest is greater, that the entire amount that will be
collected be disbursed to run educational programs in all available languages through
partnerships with other parties or directly through Waafr or dividing the amount into
parts, part for creating new programs, part for operation, part for marketing, part for
marketing and creating other endowments to expand work, as Waafr is authorized to
search for the best that contributes to achieving the goals of the third-party’s
educational projects and use the support to achieve them.
The Sixth Article: Changes to Terms and Conditions
Since the first party is responsible for managing the real estate endowment and its
permanent follow-up to achieve the goal for which it was endowed, in order to achieve the
interest and take into account the changes in circumstances, the first party has the right to
change the terms and provisions of this agreement according to the changes and the
conditions affecting the endowment over time as long as these suggestions are definitely in
the interest of the endowment to increase its revenues and protect it in a clear and
unambiguous manner, and these amendments are approved by trusted specialists, provided
that its proceeds remain to support projects that provide Shareeah education to Muslims
around the world.
:)The First party (the endowment administration official
● The first party, in addition to its responsibilities that will be mentioned, is responsible
for monitoring the compliance of the rest of the parties with the responsibilities
entrusted to them in this agreement, and the first party will be the coordinator and
channel of communication between all parties to implement the terms of this
agreement.
● The first party is obligated to achieve and implement everything stipulated by Islamic
Shareeah regarding the endowment in terms of its ownership, management, and
disbursement of its proceeds, according to legitimate fatwas and the sayings of
trustworthy scholars.
● The first party must contract with a company or a specialist for legal advice to follow
up from a legal point of view everything related to the endowment
● The first party must contract with a real estate consultancy company with experience
and knowledge in the real estate market whose mission is to search for distinctive
and appropriate real estate investment opportunities and propose them to the first
party with a detailed study of them.
● The first party, in the event of the approval of the purchase of a property for the
endowment, is responsible for coordinating with the legal and real estate
consultancy company to purchase and transfer the ownership of the property and to
ensure its legal and operational status and the expected proceeds from it.
● The first party is responsible for managing the operation and investment of the real
estate endowment by leasing the apartments and the shops located in it or through
what it deems appropriate to operate the real estate and achieve its goals with the
continuous search for the best investment opportunities for this and to accomplish
this through the best real estate and legal consultancy companies. The first party
must be diligent to implement this while always guarantying the interest and
preservation of the waqf.
● The first party is obligated to direct the legal consultancy company to organize the
rental contracts in a way that ensures the interest of the property from a legal point
of view and according to what is duly recognized.
● The first party is obligated to be responsible for the permanent follow-up of the real
estate endowment in terms of maintenance and development, as well as ensuring
that the investors maintain the real estate and contracts with entities, persons, or
workshops to implement this whenever the need arises.
● The first party has the right, according to the interest for which the property was
endowed, to sell the property and replace it with another property of the same level
in terms of financial return, if its benefits are disrupted in a manner that makes its
proceeds not suitable for the purpose for which it was endowed. All provisions of
this agreement will apply then to the new property.
● The first party is not entitled to sell the property and replace it with another unless
the other property is better or similar to the first property in terms of investment
and that the endowments interest and the expected rent for the new property is
better or equal to the first property, after consulting specialized real estate
investment companies.
● Within a year of launching this donation campaign, and in the event that the
required amount of the property specified for this campaign is not reached, the first
party purchases a property with the available amount collected during this year,
provided that this property is an investment opportunity that conforms to what is
stated in this agreement or the implementation of the sixth paragraph is approved
from "Article Five: Scope of the Agreement".
● If the amount necessary to purchase the property designated for the endowment is
collected, but the owner of the property to be endowed in this agreement sold it to
other than Waafr disposed of it, the first party shall search and purchase another
property not less than the level of the first property in terms of return or
implementation of the sixth paragraph of the "Fifth Clause: Scope of the
agreement".
● The first party collects the real estate endowment revenues from tenants and
continuously follows up on the legality of their contracts.
● The first party manages the disbursement of the real estate endowments revenues
according to this agreement and according to the interest for which the real estate
was endowed, which is to secure financial support for the third party.
The Second Party (The Endower):
● The second party's commitment to this agreement means that it agreed to
contribute to securing financial funding to support the third party's goals in
spreading the Islaamic Knowledge to Muslims around the world.
● The first objective of the second party of this contribution is to seek the pleasure of
Allaah the Most High and to anticipate the reward and reward from Him by providing
the Islaamic knowledge that is obligatory for Muslims around the world.
● The second party is obligated to pay the amount he pledged to provide in favor of
the endowment at the specified time that is agreed upon and, in the manner, agreed
upon between the two parties.
● The second party agrees to abide by all the provisions of this agreement and
implement what is necessary for the endower according to the Islaamic Shareeah.
● The second party has the right, in the case that the value of what he offered is equal
to half or more of the endowment price, he may request to see the operation reports
in coordination with the first party.
● Since the third party will build its future plans based on the rent that comes to it
from the endowment, the second party, regardless of its contribution to the
purchase of the endowment, undertakes, as soon as it agrees to what is stated in this
agreement, that this endowment will remain the subject of the contract as a
moratorium in favor of the support of the third party and that this agreement is
irreversible In it, that this endowment is out of the ownership of the second party
and that it has come under the rule of the possession of Allaah the Most High as a
matter of perpetuity and charity in favor of the third party.
● The second party undertakes not to use its being a party to this agreement to impose
special conditions or provisions on the first party regarding the operation of the
endowment, or to impose on the first party certain entities or certain areas of work,
and the scope of its powers to operate the property remains to provide advice and
advice that is not binding on the first party
● The second party promises that his contribution and financial donation in favor of
this endowment is what he is legally entitled to dispose of.
The Third Party (The Endowment):
● The third party is obligated to benefit from the support it receives from the real
estate endowment in developing the Shareeah education programs on which it is
based. Filling its financial needs according to what it deems appropriate and
necessary, if this is directly aimed at spreading moderate Shareeah knowledge
through its programs and platforms, developing and expanding its spread and
increasing its participants and providing Islamic knowledge to Muslims around the
world.
● The third party does not bear any expenses related to the endowment, its
development or maintenance, or the costs of its operation and investment, as these
aspects are filled from the proceeds of the endowment itself.
● The third party is obligated to prepare future plans to develop the educational
program on which it is based, expand its spread and reach the largest possible
number of Muslims around the world, and provide them with Islaamic knowledge,
making use of what it receives from the endowment.
The Eighth Article: Disagreements and arbitration when they occur.
● Any dispute or controversy that may arise from the implementation or interpretation
of one of the provisions of this Agreement shall be resolved amicably.
● If the dispute is not resolved by amicable means, an independent committee is
appointed to which the different parties agree, and it is delegated and authorized to
resolve the dispute, and its ruling is binding on all and effective from the moment of
its approval.
● All parties are obligated not to publish any disputes that may occur through various
means of communication, and each party is obligated to pledge not to defame any
other party, no matter the reasons.
● All parties are obligated to the confidentiality of personal and identity data of other
parties or their representatives and not to publish or use them without the written
consent of the person concerned, and any party that breaches this clause bears all
the legal and personal consequences arising from that.
The Ninth Article: Disclaimer
● The first party does not bear any responsibilities resulting from the damage that may
be caused to the endowment or the expected rent for it for reasons beyond its
control and free of negligence in the procedures for securing and safety of the
endowment in all aspects such as natural disasters, wars, or economic collapse.
● The second party acknowledges that the first party does not bear any legal
consequences or any harm resulting from this agreement
● The second party acknowledges discharging the responsibility of the rest of the
parties for any damage that may occur to the second party because of complying
with this agreement or donating in favor of this endowment
● If it is found or proven that any of the parties has bad intent towards another party
or has caused harm in any way whatsoever, then this party shall bear the full legal
consequences and the material and legal damages resulting from that.
● Neither the first nor the third party bears any legal consequences resulting from the
donation process carried out by the second party towards the government of his
country
● All parties undertake not to use this agreement, or anything related to it or to the
endowment to evade, circumvent or break the laws of the countries in which they
are located, and all parties undertake that the laws in force in the countries in which
they live will be respected and applied.
The Tenth Article: Endowment management and the areas of disbursement of its
proceeds:
The first party, through its management of the endowment, pays the necessary revenues for
the matters of operating the endowment, such as contracting with a legal and real estate
consultancy.
The first party is obligated that the administrative expenses and operating and maintenance
expenses (if any) do not exceed a maximum of 49% of the endowment revenues, provided
that these expenses are necessary and justified. This is so that the goals of the Waqf are
actualized which is the dissemination of the Islaamic knowledge to the Muslims around the
world.
The Eleventh Article: Timeframe for this Agreement:
This agreement applies to all its parties as of January 2022
This agreement does not have an end date, as the endowment is valid for perpetuity for the
sake of Allaah the Most High and for the support of the third party
